By using the site, you agree to be bound by these Terms and Conditions, as well as any additional policies published on the site. We encourage you to carefully review these terms before using our services, to ensure that you fully understand and agree with the provisions herein. Continued use of the site will be taken as your acceptance of these terms, which may be updated periodically.
Definitions
Platform: The web application and services provided by COENLI LLC through the website https://www.contrataenlinea.com.
User: Any individual who registers and uses the platform, including both clients and freelancers.
Client: The person or entity that uses the platform to hire freelancers and receive services.
Freelancer: An independent professional who offers their services through the platform and accepts projects from clients.
Project: A specific task or job requested by the client through the platform, for which a freelancer is hired.
Proposal: An offer sent by a freelancer to the client to perform a project, including details about the price and estimated delivery time.
Intermediation: The percentage that COENLI LLC charges the client for using the platform, managing payments, and ensuring compliance with the agreed terms.
Commission: The percentage that COENLI LLC charges the freelancer at the time of disbursing the payment.
Rating: An assessment that users can leave about other users (clients or freelancers) after completing a project.
Payment: The transfer of funds made through the platform, including amounts paid by clients and received by freelancers.
Refund: The return of money to the client under specific circumstances outlined in the platform's refund policy.
1. Acceptance of Terms
a. Agreement to Terms: By accessing or using the platform at https://www.contrataenlinea.com, you agree to be bound by these Terms and Conditions, as well as any additional guidelines, policies, or rules that may be posted and updated on the platform from time to time. If you do not agree to these terms, you may not access or use the platform.
b. Modification of Terms: COENLI LLC reserves the right to revise these Terms and Conditions at any time. Any modifications will be posted on the platform and will be effective immediately upon such posting. Your continued use of the platform following the posting of changes constitutes your acceptance of the revised terms. It is your responsibility to review these Terms and Conditions periodically to stay informed of any updates.
c. Eligibility: Use of the platform is intended for individuals who are at least 18 years of age and possess the legal capacity to enter into this agreement. If you are using the platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
d. Acceptance of Electronic Communications: By using the platform, you consent to receive communications from COENLI LLC electronically. These communications may include notices related to your account, updates to the platform, and other information pertinent to your use of the services.
2. User Registration
a. Account Creation: To access and use certain features of the platform, you must register for an account. During the registration process, you will be required to provide accurate and complete information, including but not limited to your name, email address, and other relevant details. You agree to keep this information up-to-date and accurate.
b. Responsibility for Account: You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify COENLI LLC immediately of any unauthorized use of your account or any other breach of security. COENLI LLC will not be liable for any loss or damage arising from your failure to protect your account information.
c. Eligibility: To register as a user, you must be at least 18 years old and have the legal capacity to enter into this agreement. By registering, you confirm that you meet these eligibility requirements.
d. Account Termination: COENLI LLC reserves the right to suspend or terminate your account at its sole discretion if you violate these Terms and Conditions or engage in any unlawful or inappropriate behavior. Upon termination, you may lose access to your account and any associated content.
3. Services Offered
a. Platform Overview: COENLI LLC operates as a digital platform designed to connect clients globally with professional freelancers from Latin America for the completion of remote tasks. The platform facilitates the entire process of project posting, proposal submission, communication, and payment transactions between users.
b. Scope of Remote Services: COENLI LLC specializes in enabling the execution of work that can be performed remotely, ensuring that all engagements between clients and freelancers take place virtually. The platform supports various types of freelance services, as long as they do not require physical presence or in-person interaction.
c. Communication Channels: The platform offers integrated communication tools, including secure chat and video conferencing, to ensure effective collaboration between clients and freelancers. All communications must be conducted exclusively through COENLI LLC's platform, and external contact is strictly prohibited to maintain user security and privacy.
d. Project Posting and Documentation: Clients are able to post projects with detailed descriptions and upload relevant visual aids. These materials assist freelancers in accurately understanding the scope and requirements before submitting proposals.
e. Proposal Submission and Client Selection: Freelancers can submit tailored proposals based on client project postings. Clients are responsible for reviewing and selecting the most suitable freelancer, based on the proposals received. COENLI LLC plays no role in determining or guaranteeing the selection process.
f. Payment Management: COENLI LLC facilitates the payment process between clients and freelancers, ensuring that funds are securely managed. Payment is transferred to the freelancer only after the client has approved and accepted the work. COENLI LLC charges a percentage to both the client and the freelancer as part of the facilitation of this process.
g. Ratings and Feedback System: To promote transparency and continuous improvement, COENLI LLC provides a ratings and feedback system for both clients and freelancers. Upon project completion, both parties are encouraged to submit evaluations, contributing to a reliable and high-quality marketplace environment.
4. Fees and Payments
a. Client Service Fees: Upon the acceptance of a freelancer's proposal, COENLI LLC will charge clients a non-refundable service fee equivalent to 5% of the total project value. This fee helps maintain the platform's services and facilitates the transaction process.
b. Freelancer Service Fees: Upon successful completion of a project and the client's approval, a service fee of 20% will be deducted from the freelancer's earnings. This fee is for providing access to the platform and supporting services.
c. Payment Processing: Payments between clients and freelancers are managed by COENLI LLC. Funds are only transferred to the freelancer once the client confirms acceptance of the work and authorizes the release of funds.
d. Freelancer Payment Dates: Payments to freelancers are made twice a month: between the 1st and 5th, and from the 15th to the 20th. In order for a freelancer to receive payment, the following requirements must be met:
- The client must have accepted the delivered work.
- A period of 7 days must pass from acceptance without any complaints or requests for changes being registered.
This process ensures transparency and protects both freelancers and clients.
e. Currency and Conversion: All transactions are conducted in USD. If currency conversion is required, any related fees will be the user's responsibility. COENLI LLC is not responsible for currency exchange fluctuations.
f. Payment Methods: The platform supports multiple payment methods, including credit/debit cards and other recognized online payment systems. Users must ensure their payment information is accurate and up-to-date.
g. Disputes and Refunds: In case of payment or service disputes, COENLI LLC offers a dispute resolution process. The client service fee is non-refundable.
5. Refund Policy
a. Non-Refundable Fees: The 5% service fee paid by clients upon accepting a freelancer's proposal is non-refundable, as it covers administrative costs.
b. Project Disputes: In the event of a dispute regarding the quality or completion of a project, COENLI LLC offers a dispute resolution mechanism. Clients must provide clear evidence supporting their claims.
c. Freelancer Completion Guarantee: In the event that a freelancer fails to complete the agreed-upon work or does not meet the project requirements, COENLI LLC will conduct an audit to assess the situation. If the non-compliance is confirmed, the client will have the option to select another freelancer without incurring an additional 5% service fee. If the new freelancer's agreed fee exceeds the original project amount, the client will need to cover the difference, including a 5% charge on the excess amount. If the new agreement is for a lesser amount, the client may choose to keep the remaining balance in their account for future projects or request a refund for the difference. Please note that any new deposits made into COENLI LLC's account will always be subject to the applicable 5% fee.
d. Client Responsibility: Clients are responsible for clearly defining their project scope and requirements. Failure to communicate necessary details may affect the eligibility for refunds. COENLI LLC will not be liable for any misunderstandings or dissatisfaction resulting from incomplete or unclear instructions.
e. Partial Refund: If a client requests a refund and the freelancer has already delivered part of the work that meets the agreed standards, COENLI LLC may grant a partial refund, proportional to the amount of work completed and accepted.
f. Timeframe for Refund Requests: Refund requests must be submitted within 7 calendar days after project completion and client approval. Any requests made after this period will not be considered.
6. User Responsibility
a. Accuracy of Information: Users are required to provide accurate, current, and complete information during registration and while using COENLI LLC's platform. Any misrepresentation or omission of critical information may lead to suspension or termination of the user account.
b. Compliance with Laws: Users must comply with all applicable local, state, national, and international laws when using the platform. This includes respecting intellectual property rights, avoiding fraudulent activity, and refraining from any illegal conduct.
c. Prohibited Actions: Users are prohibited from circumventing COENLI LLC's platform to engage with other users outside the platform for project-related purposes. Unauthorized sharing of contact information, external negotiations, or attempts to evade platform fees will result in account suspension.
d. Confidentiality: Users are responsible for maintaining the confidentiality of their account credentials. Any unauthorized use of a user's account or breach of security must be reported immediately to COENLI LLC. Users are fully responsible for all activities conducted through their accounts.
e. Quality of Submissions: Freelancers are expected to deliver work that meets the agreed-upon specifications, while clients are required to provide clear and reasonable project requirements. Users acknowledge that failure to fulfill their responsibilities may result in penalties, disputes, or termination of access to the platform.
7. Intellectual Property
a. Platform Ownership: All content, design elements, software, trademarks, logos, and other intellectual property associated with COENLI LLC's platform are the exclusive property of COENLI LLC, its authorized partners, or third-party providers. Users are prohibited from copying, modifying, distributing, or creating derivative works based on any part of the platform without express prior written permission from COENLI LLC.
b. User-Generated Content: By submitting any content, including but not limited to text, images, or files to the platform, users grant COENLI LLC a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, modify, adapt, publish, and distribute such content solely for the purposes of operating and promoting the platform. Users retain ownership of the intellectual property rights over their created content, subject to the license granted to COENLI LLC.
c. Freelancer Work Product: Intellectual property rights for any work product created by a freelancer as part of a project will be transferred to the client upon full payment, unless otherwise agreed in writing between the client and the freelancer. Freelancers acknowledge that, by accepting the project and the agreed compensation, they waive any further claims to the work product, except for portfolio use or as otherwise agreed with the client.
d. Infringement Claims (DMCA): COENLI LLC respects the intellectual property rights of third parties. If a user believes that their intellectual property has been infringed, they may submit a formal notification to COENLI LLC's designated DMCA agent. The complaint should comply with the requirements of the Digital Millennium Copyright Act (DMCA). Upon receipt of a valid DMCA notice, COENLI LLC will take appropriate action, including removing the infringing content or terminating the accounts of repeat offenders.
8. Confidentiality
a. User Obligations: Users, including both clients and freelancers, agree to keep all confidential information, trade secrets, and any sensitive data exchanged through the COENLI LLC platform strictly confidential. This includes any information shared during project negotiations, execution, or upon completion, unless such information becomes public through no fault of the receiving party.
b. COENLI LLC's Confidentiality Commitment: COENLI LLC is committed to handling all user-provided data, including project details and personal information, with the utmost confidentiality. Except as required by law or for the necessary operation of the platform, COENLI LLC will not disclose, sell, or share user information with third parties without the explicit consent of the user.
c. Exclusions: The confidentiality obligation does not apply to information that (i) is publicly available through no breach of this agreement, (ii) is lawfully obtained from a third party without restrictions, or (iii) is independently developed by the receiving party without reference to confidential information.
d. Breach of Confidentiality: In the event of a confidentiality breach by any user, COENLI LLC reserves the right to take appropriate legal action, including the suspension or termination of the user's account and the pursuit of damages. Users found in violation of confidentiality obligations may be held liable for any resulting damages.
9. Disclaimer of Warranties
a. Platform Operation: COENLI LLC provides its platform on an "as-is" and "as-available" basis. COENLI LLC does not guarantee that the platform will be uninterrupted, error-free, or available at all times. Users acknowledge that issues such as maintenance, technical problems, or other factors beyond COENLI LLC's control may affect platform availability.
b. Limitation of Warranties: To the maximum extent allowed by law, COENLI LLC disclaims all warranties, whether express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. COENLI LLC does not guarantee the accuracy, reliability, or completeness of any content or materials on the platform, including those provided by users or third parties.
c. Client Specifications: COENLI LLC does not guarantee that clients will provide complete or accurate project specifications. Freelancers are responsible for ensuring that they have received sufficient information before sending any proposal.
d. Third-Party Content: COENLI LLC is not responsible for the content or services provided by third parties linked to or accessible through the platform. The inclusion of such links does not imply endorsement by COENLI LLC, and users engage with third-party content at their own risk.
10. Limitation of Liability
a. General Limitation: To the maximum extent permitted by law, COENLI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, whether in contract, tort (including negligence), or otherwise, arising out of or in connection with the use of or inability to use the platform, even if COENLI LLC has been advised of the possibility of such damages.
b. Platform Use: If any claim arises related to your use of the platform or these Terms and Conditions, COENLI LLC's total liability will be limited to the amount you paid for the specific service or transaction that caused the claim. In no case will COENLI LLC be liable for amounts exceeding what you have paid for the service in question.
c. Third-Party Claims: COENLI LLC is not liable for any claims, losses, or damages resulting from interactions with third parties accessed through the platform, including but not limited to other users, third-party services, or external websites.
d. Exceptions: Nothing in these Terms and Conditions shall exclude or limit COENLI LLC's liability for fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
11. Suspension and Termination of Service
a. Suspension: COENLI LLC reserves the right to temporarily suspend access to the platform or any services provided, either in whole or in part, without prior notice, if it deems necessary for reasons such as maintenance, security concerns, or violations of these Terms and Conditions. Users will be notified as soon as possible in such cases, but COENLI LLC shall not be held liable for any losses arising from such suspensions.
b. Termination by COENLI LLC: COENLI LLC may terminate or restrict your access to the platform at its sole discretion if you breach any of these Terms and Conditions, engage in illegal activities, or misuse the platform in any way. Termination may occur without prior notice, and you will not be entitled to any refund for unused services or fees already paid.
c. Termination by User: Users may terminate their account at any time by following the procedures outlined in their account settings. However, termination by the user does not relieve any outstanding obligations, including payments or project deliverables.
d. Effect of Termination: Upon termination of access, users will no longer have access to their accounts or any data stored on the platform. COENLI LLC may retain certain information as required by law or its internal policies. Any outstanding payments or fees due at the time of termination will remain enforceable.
12. Governing Law and Jurisdiction
a. Governing Law: These Terms and Conditions, and any disputes, claims, or controversies arising out of or relating to them, including any matters related to the use of the platform, shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provisions.
b. Exclusive Jurisdiction: Any legal action, claim, or proceeding arising out of or relating to these Terms and Conditions, the platform, or any related transactions shall be brought exclusively in the state and federal courts located within the State of California. By agreeing to these Terms and using the platform, you irrevocably submit to the personal jurisdiction of these courts and waive any objections based on improper venue or forum non conveniens.
c. Class Action Waiver: You agree that any dispute resolution shall be conducted on an individual basis. Any claims against COENLI LLC shall be pursued solely in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You expressly waive any right to participate in class actions, collective lawsuits, or other forms of representative litigation.
13. Dispute Resolution
a. Good-Faith Negotiation: In the event of any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, the platform, or any services provided by COENLI LLC, the parties shall first engage in good-faith negotiations to resolve the dispute. The party raising the dispute must provide written notice detailing the issue, and both parties shall work to reach an amicable resolution within 30 days of such notice.
b. Binding Arbitration: If the dispute is not resolved through negotiation, it shall be settled by binding arbitration, administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration will be conducted in the state of California, and the proceedings will be held in English. The arbitrator's decision will be final and binding, and may be enforced in any court with jurisdiction.
c. Injunctive Relief: Notwithstanding the requirement for arbitration, COENLI LLC may seek injunctive relief or other equitable remedies in a court of competent jurisdiction to protect its intellectual property, confidential information, or proprietary rights.
d. Arbitration Expenses: Each party shall bear its own arbitration costs, including attorney's fees, unless the arbitrator rules otherwise.
e. Waiver of Class Actions: The parties agree that all disputes will be resolved on an individual basis. Class actions, representative actions, and collective arbitration are not permitted. You expressly waive any right to participate in such actions.
f. Waiver of Jury Trial: By agreeing to arbitration, both parties waive the right to a trial by jury for any disputes arising under these Terms and Conditions.
14. Compliance with Financial and Tax Regulations
a. User Responsibility: It is the sole responsibility of users, both clients and freelancers, to comply with all applicable financial, tax, and reporting obligations under their local, state, and national laws. COENLI LLC does not offer tax advice or assume responsibility for determining any party's tax obligations arising from their use of the platform.
b. Tax Reporting: Freelancers are responsible for reporting and remitting any taxes owed on income earned through the platform. Similarly, clients are responsible for any tax obligations related to payments made for services rendered. COENLI LLC may provide tax documentation as required by applicable laws, but is not responsible for ensuring the accuracy of the information reported by users.
c. Withholding and Deductions: In certain jurisdictions, COENLI LLC may be required to withhold taxes or make deductions from payments to freelancers, in accordance with local tax regulations. Users agree to provide necessary information and documentation to enable COENLI LLC to comply with these requirements.
d. Compliance Cooperation: By using the platform, users agree to cooperate with COENLI LLC in fulfilling its legal obligations, including providing information, documentation, or certifications necessary for compliance with financial or tax regulations.
e. Audits: COENLI LLC reserves the right to audit any account and transaction to ensure compliance with applicable financial and tax regulations. Any failure to comply with these requirements may result in suspension or termination of services.
15. Data Protection and Privacy
a. Personal Data Collection: COENLI LLC collects personal data from users (clients and freelancers) as needed for the operation of the platform. This includes information provided during registration, project posting, and communication between users.
b. User Rights Under GDPR: Users located in the European Economic Area (EEA) have the right to access, correct, delete, or restrict the processing of their personal data, as well as the right to data portability. Users may contact COENLI LLC to exercise these rights, as explained in our Privacy Policy.
c. Rights of California Residents (CCPA): California residents have the right to know what personal data is collected, the right to request the deletion of that data, and the right to opt-out of the sale of personal data. COENLI LLC does not sell personal data. California users can request information or deletion of their data through the contact methods listed in our Privacy Policy.
d. Data Security: COENLI LLC takes reasonable steps to secure user data against unauthorized access or disclosure. While we work to protect user data, we cannot guarantee absolute security.
e. Third-Party Sharing: COENLI LLC may share user data with trusted third-party service providers for purposes such as payment processing, platform improvements, or analytics. Any sharing of data will comply with legal requirements, and third parties will be required to safeguard the information.
f. Data Retention: Personal data will be retained only for as long as necessary to fulfill the purposes for which it was collected or as required by law. Users may manage the deletion of their personal data directly through their account on COENLI LLC's platform by using the available privacy settings tools.
g. Cookies: COENLI LLC uses cookies and similar technologies to improve user experience, track usage, and deliver personalized content. Users can manage their cookie preferences through their browser settings.
16. User-Generated Content
a. Ownership and Responsibility: Users (clients and freelancers) are solely responsible for the content they upload, share, or communicate through the platform, including project descriptions, feedback, reviews, and any other materials (collectively referred to as "User Content"). By uploading or sharing content, users affirm that they have the legal right to do so and that the content does not infringe on any third-party rights.
b. License Grant: By submitting or posting User Content on the platform, users grant COENLI LLC a worldwide, non-exclusive, royalty-free, perpetual, transferable, and sublicensable license to use, reproduce, distribute, modify, display, and perform such content for the purposes of operating and promoting the platform. This license ends when the user or COENLI LLC removes the content.
c. Content Restrictions: User Content must not include offensive, unlawful, defamatory, or inappropriate material, and must comply with all applicable laws. COENLI LLC reserves the right to remove or modify any content that violates these guidelines or is deemed inappropriate.
d. Monitoring and Enforcement: COENLI LLC has the right, but not the obligation, to monitor User Content and to remove or block access to any content at its discretion. Users acknowledge that COENLI LLC is not responsible for the accuracy or legality of User Content.
e. Feedback and Reviews: Users may leave feedback and reviews for other users (clients or freelancers) based on their experiences. Reviews must be truthful, respectful, and based on actual interactions through the platform. COENLI LLC reserves the right to moderate or remove reviews that violate these standards.
17. Rating and Review Policy
a. Purpose: COENLI LLC provides a rating and review system to facilitate transparency, trust, and informed decision-making on the platform. Clients and freelancers can rate each other after the completion of a project, and these ratings will be visible to other users.
b. Honest and Fair Reviews: Users are expected to provide honest, accurate, and respectful feedback based on their genuine experiences. Reviews must reflect actual interactions on the platform and should not include false, misleading, or defamatory statements.
c. Prohibited Behavior: The following actions are prohibited in relation to ratings and reviews:
- Manipulating ratings or reviews (e.g., by offering incentives for positive reviews).
- Posting reviews that contain offensive language, discriminatory remarks, or personal attacks.
- Submitting reviews about experiences unrelated to the services provided through COENLI LLC.
d. Moderation of Reviews: COENLI LLC reserves the right to moderate, remove, or request the revision of any rating or review that violates this policy or the platform's standards. In cases of dispute over a review, COENLI LLC may take necessary action, but is not obligated to mediate between users.
e. Impact of Ratings: Ratings and reviews directly affect user profiles on the platform. A history of negative reviews may result in limited access to opportunities, while positive reviews can enhance a user's reputation. COENLI LLC does not modify or manipulate ratings unless they violate the review guidelines.
f. Reporting Inappropriate Reviews: Users may report reviews that they believe to be in violation of this policy. COENLI LLC will investigate such reports and take appropriate action.
18. Acceptable Use of the Platform
a. General Prohibitions: Users of COENLI LLC, both clients and freelancers, must use the platform in a legal, ethical, and compliant manner in accordance with these Terms and Conditions. It is prohibited to use the platform for any illegal, fraudulent, abusive, or rights-infringing activities, including intellectual property rights violations.
b. Compliance with Laws: Users agree to comply with all applicable laws and regulations in the jurisdiction from which they access the platform. COENLI LLC is not responsible for users' non-compliance with such laws.
c. User Conduct: Users are expected to engage in respectful and professional communication within the platform, whether in private messages or public forums. Any behavior that COENLI LLC deems intimidating, abusive, discriminatory, defamatory, or disruptive to the normal operation of the platform will be subject to sanctions.
d. Unauthorized Access: Users must not attempt to gain unauthorized access to accounts, systems, or networks connected to COENLI LLC. The use of automated means, such as bots or scraping, to extract information from the platform without COENLI LLC's express consent is strictly prohibited.
e. Sanctions: Violations of these acceptable use rules may result in the suspension, limitation, or termination of the user's account, as well as the removal of any content associated with such violations. COENLI LLC reserves the right to take legal action in the case of severe breaches.
19. Client and Freelancer Responsibilities
a. Client Responsibilities:
- The Client is responsible for providing clear, detailed, and complete descriptions of the projects posted on COENLI LLC's platform.
- The Client must ensure that any materials, files, or images submitted meet the applicable technical and legal requirements.
- The Client acknowledges that any errors or omissions in the project specification may affect the quality and delivery time.
- Additionally, the Client agrees to carefully review the work submitted by the Freelancer and provide feedback within a reasonable timeframe.
b. Freelancer Responsibilities:
- The Freelancer is responsible for reviewing and fully understanding the project details before submitting a proposal.
- The Freelancer must ensure that they possess the necessary skills, knowledge, and resources to complete the project according to the Client's specifications.
- The Freelancer is responsible for meeting agreed-upon deadlines and delivering work that meets the Client's expected quality standards.
- The Freelancer also agrees to comply with local and international regulations that may apply to the provision of their services.
c. Communication Between Parties: Both the Client and the Freelancer are responsible for maintaining clear and effective communication through the channels provided by COENLI LLC's platform (chat and video calls). Both parties are prohibited from engaging in contact outside the platform to prevent misunderstandings or activities that may breach COENLI LLC's Terms and Conditions.
d. Confidentiality and Intellectual Property: Both the Client and the Freelancer agree to respect the confidentiality of information shared during the project development and not to disclose it to third parties without the express consent of the other party. The Freelancer acknowledges that any intellectual property derived from the project, unless otherwise specified in the specific project agreement, belongs to the Client once payment is complete.
20. Project Posting Conditions
a. Complete and Accurate Description: When posting a project on COENLI LLC's platform, the Client is responsible for providing a complete, accurate, and detailed description of the work's requirements and expectations. To facilitate this process, COENLI LLC offers an artificial intelligence tool that assists in professionally drafting the project, allowing the Client to generate a technically sound description based on a general idea and essential details. This information must include, among other things, the project's objectives, deadlines, technical specifications, and any other relevant aspects to ensure that freelancers properly understand the project scope and can provide accurate quotes.
b. Reference Materials: The Client may optionally upload images or other reference materials to provide greater clarity for Freelancers regarding project needs. COENLI LLC is not responsible for the intellectual property of materials uploaded by the Client, who is solely responsible for ensuring that they have the legal rights to use and share such materials.
c. Legal Compliance: Projects posted must comply with all applicable laws in both the Client's and the Freelancer's jurisdictions, including but not limited to laws related to copyrights, trademarks, privacy, data protection, and any other relevant regulations. COENLI LLC reserves the right to remove any project that does not comply with these regulations or that is deemed inappropriate.
d. Prohibited Projects: The posting of projects that involve illegal, immoral, deceptive activities, or that promote hate, violence, discrimination, or any other content deemed inappropriate or in violation of COENLI LLC's policies is not permitted.
e. Modification or Cancellation of Projects: COENLI LLC reserves the right to modify or cancel any project that violates the Terms and Conditions, or if any irregularity or policy violation is identified.
21. Authorizations for International Transfers
a. Acceptance of International Transfers: By using COENLI LLC's platform, both the Client and the Freelancer acknowledge and accept that payments, commissions, and any other financial transactions may involve international money transfers. These transfers may be subject to additional fees, local and international regulations, as well as banking restrictions beyond the control of COENLI LLC.
b. Compliance with International Regulations: Both the Client and the Freelancer are responsible for complying with all financial and tax regulations that may apply in their respective jurisdictions for receiving or sending international funds. COENLI LLC is not liable for any delay or inability to receive or transfer funds due to external regulations or restrictions imposed by the financial institutions involved.
c. Withholding of Taxes and Other Deductions: Depending on the applicable tax laws in the jurisdictions of both the Client and the Freelancer, payment transfers may be subject to tax withholdings, banking fees, or other deductions required by the relevant authorities. The Client and the Freelancer agree that COENLI LLC is not responsible for calculating, withholding, or remitting such taxes or deductions unless specifically required by law or agreement.
d. Authorization to Withhold Funds: COENLI LLC reserves the right to temporarily withhold project funds in the event of a dispute or suspected breach of the Terms and Conditions until the situation is resolved. Such withholdings will be made in accordance with international regulations and user protection standards, ensuring the safety of funds during the process.
